Flex Plan - Terms & Conditions

These Flex Plan Terms & Conditions (“Terms”) govern the submission, creation, and management of property listings on Carhaus.io (“Carhaus,” “we,” “us,” or “our”) under the Flex Plan pricing structure.

By submitting a property through the Carhaus Flex Plan intake form, you (“Seller,” “Client,” or “you”) agree to be bound by these Terms.

1. Scope of Service

Carhaus provides a professionally created and managed digital property listing on the Carhaus platform.

Services under the Flex Plan include:

• Listing creation based on information provided by the Seller
• Publishing the listing on Carhaus.io
• Ongoing listing updates as reasonably requested
• Hosting and maintaining the listing until sold or removed

Carhaus does not act as a real estate broker, agent, or fiduciary and does not provide legal, financial, or valuation advice.

2. Pricing Structure – Flex Plan

The Flex Plan consists of:

• $129 upfront listing fee, payable prior to publication
• 1.25% success-based selling fee, payable upon sale

Exact fees are disclosed during submission and confirmed prior to payment.

3. Success Fee Definition

A “Success Fee” becomes due if the listed property sells as a result of a Carhaus-generated lead, including but not limited to:

• Direct inquiries originating from Carhaus
• Leads routed through Carhaus contact forms
• Buyers introduced through Carhaus outreach, referrals, or platform exposure

The Success Fee is calculated as 1.25% of the final sale price and is due at closing or settlement.

3.1 Lead Attribution Presumption

For purposes of these Terms, a lead shall be presumed to be a Carhaus-generated lead if the buyer or buyer’s representative first became aware of the property through Carhaus, initiated contact through Carhaus, or had any direct or indirect interaction with the listing via the Carhaus platform, unless the Seller can provide clear written evidence to the contrary.

4. Payment Obligation

The Seller agrees to:

• Notify Carhaus promptly upon entering escrow or contract
• Provide reasonable confirmation of sale details if requested
• Pay the applicable Success Fee within the timeframe specified by Carhaus

Failure to remit the Success Fee may result in collection efforts or other remedies permitted by law.

4.1 Cooperation & Verification

The Seller agrees to reasonably cooperate with Carhaus to verify lead attribution and sale completion, including providing closing confirmation, escrow details, or other documentation reasonably requested.

5. Listing Content & Accuracy

The Seller represents and warrants that:

• All submitted information is accurate and current
• They have the legal right to list the property
• All images, descriptions, and details provided may be used by Carhaus for marketing and publication

Carhaus is not responsible for inaccuracies supplied by the Seller.

6. Listing Control & Edits

Carhaus retains full control over the creation, formatting, presentation, and publication of all listings to ensure consistency, quality, and adherence to platform standards.

Following publication, the Seller may submit reasonable edit requests for correcting factual errors or making minor updates, including price changes, status updates, or clarifications.

Edit Limitations

Carhaus reserves the right, in its sole discretion, to limit, delay, consolidate, or decline edit requests that are:

• Excessive in volume or frequency
• Substantive rewrites or re-positioning of the listing
• Outside the scope of factual corrections or minor updates
• Disruptive to platform standards or operational workflows

Multiple or ongoing edit requests may be consolidated and treated as a single update at Carhaus’s discretion.

Requests for significant revisions, repeated changes, or ongoing content iteration are not included in the Flex Plan and may be declined or subject to additional fees, quoted separately if applicable.

Carhaus is not obligated to provide unlimited edits or ongoing content management beyond the original listing creation and reasonable updates.

7. Listing Duration & Removal

Listings remain live until:

• The property is sold
• The Seller requests removal
• Carhaus removes the listing for policy or compliance reasons

Removal of a listing does not waive any Success Fee obligations arising from prior Carhaus-generated leads.

8. Non-Circumvention

The Seller agrees not to:

• Bypass Carhaus to avoid payment of the Success Fee
• Re-route or re-characterize Carhaus leads to evade attribution

8.1 Tail Period

The Seller’s obligation to pay the Success Fee shall apply to any sale completed within twelve (12) months of a Carhaus-generated lead being introduced, regardless of whether the listing remains active on the Carhaus platform at the time of sale.

9. Termination

Carhaus reserves the right to suspend or terminate a listing if:

• Submitted information is misleading or inaccurate
• Fees remain unpaid
• The Seller violates these Terms

Termination does not affect accrued payment obligations.

10. No Guarantee of Sale

Carhaus makes no guarantee regarding:

• Sale price
• Time on market
• Buyer interest or outcomes

All listings are marketed on a best-effort basis.

11. Limitation of Liability

To the maximum extent permitted by law, Carhaus shall not be liable for:

• Lost profits or opportunities
• Indirect or consequential damages
• Third-party actions or decisions

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

13. Acceptance

By submitting a listing under the Flex Plan and checking the agreement box, the Seller acknowledges that they have read, understood, and agreed to these Terms.
